Terms and Conditions

Terms and Conditions of Service
This Agreement contains the terms and conditions that apply to management, consulting and support services available through the following channels ("Channel Set Solutions", "Solitaire Set Solutions", "eOFFICE", "enFORM", "eCRUIT" "eCONNECT" or "eSHOP") of the Diamond Business Solutions entity named on the invoice or email confirmation for online transactions ("Diamond Business Solutions") that will be provided to you ("customer"). By accepting any of the services provided through Diamond Business Solutions either on the customer site or through eOFFICE, enFORM, eCRUIT, eCONNECT or eSHOP services, the customer agrees to be bound by and accepts these terms and conditions. These terms and conditions may be changed by Diamond Business Solutions unilaterally without advance notification to the customer.

1. Other Documents.
These terms and conditions may NOT be altered, supplemented, or amended by the use of any other document(s). Any attempt to alter, supplement or amend this document or to enter an order for service(s) or product(s) which is subject to additional or altered terms and conditions will be null and void, unless otherwise agreed to in a written agreement signed by both the customer and Diamond Business Solutions.

2. Governing Law:
The laws of England and Wales thereunder shall govern this Agreement and any sales.

3. Payment Terms:

Terms of payment are within ‘Diamond Business Solutions’ sole discretion, and unless otherwise agreed to by Diamond Business Solutions prior to provision of services, Diamond Business Solutions must receive payment. Payment by credit card or wire transfer or money order or cleared cheque will constitute prepayment. Unless Diamond Business Solutions have agreed credit terms, invoices are due and payable within the time period noted on the invoice or website for online payment, measured from the date service is provided which will also be the date on the invoice. Customer agrees to pay interest on all past-due sums at the highest rate allowed by law.

4. Taxes.
Diamond Business Solutions is not a VAT registered entity and no VAT will be charged on supplies until further notice. Customer is responsible for sales and all other taxes associated with the order, however designated, except for taxes on ‘Diamond Business Solutions' net income. If applicable, a separate charge for taxes will be shown on Diamond Business Solutions' invoice.

5. Referral Fee.
Diamond Business Solutions will give a referral fee in the form of a credit off future invoices to the customer if and after he introduces a new customer through the electronic referral process, and this new subscriber enters into either a contract with or subscribes to a Diamond Business Solutions service. The amount of the referral fee is at Diamond Business Solutions sole discretion and is effective only if both parties are up to date with all payments to Diamond Business Solutions.

6. Limitation of Liability.
Diamond Business Solutions does not accept liability beyond the remedies set forth herein. To the fullest extent possible pursuant to the applicable laws, Diamond Business Solutions disclaims all warranties, expressed or implied, including but not limited to, implied warranties of merchantability, fitness for a particular purpose, non-infringement or other violation of rights. Diamond Business Solutions will not be liable for lost profits, loss of business or other consequential, special, indirect or punitive damages, resulting directly or indirectly from the taking of the services and/or following the advice given, even if advised of possibility of such damages, or for any claim by any third party except as expressly provided herein.

7. Response time.
Diamond Business Solutions will endeavour to provide the requested service within the time scale agreed and specified within the schedule for all services with the exception of the Quick Electronic Advice Service (enFORM) where Diamond Business Solutions will endeavour to reply within five working days. Time between Diamond Business Solutions acknowledging receipt of the request and Diamond Business Solutions sending the reply or output is considered the response time. In the event of any complaint against service provided by Diamond Business Solutions each case will be considered according to it’s own merits and compensation will be at the sole discretion of Diamond Business Solutions. Diamond Business Solutions cannot be held responsible and will not compensate the customer under the clause of this article for the delays caused by outage of internet service providers from either side, or any other mediator transmitting the request and/or reply, including telephone operators and postal /courier services. Diamond Business Solutions will make the best effort but cannot guarantee to notify in advance of any outage known.

8. This Agreement does not affect your statutory rights.

9. Service and Support.
Support: Diamond Business Solutions has no obligation to provide technical email support, however will endeavour to do so for end-user Customers either in-house or through third party suppliers and then only upon full payment for service requested. However, Diamond Business Solutions' support people whether in-house or third party may not be able to understand or resolve any given problem. Therefore Service offerings may vary from product to product.

10. Service channels.
The solutions/ services are classified under various channels or particular areas of knowledge where the service is provided. The exact service elements will be specified within the schedule for service or by an additional electronic coverage note and is a part of the service agreement.

11. Third Party Suppliers.
See section 6. Limitation of liability.

12. Headings.
The section headings used herein are for convenience of reference only and do not form a part of these terms and conditions, and no construction or inference shall be derived there from.

13. Errors
Errors and omissions are excepted and permitted

14. Refund Policy
Refunds will only be given at the discretion of the Company Management

Trademarks and Copyrights.
The trademarks, service marks, and logos (the "Trademarks") used and displayed on this Site are registered and unregistered Trademarks of Diamond Business Solutions and others. Nothing on this Site should be construed as granting, by implication, or otherwise, any license or right to use any Trademark displayed on the Site, without the written permission of the Trademark owner. Diamond Business Solutions aggressively enforces its intellectual property rights to the fullest extent of the law. The name of Diamond Business Solutions, DiamondBusinesssolutions.com, Diamond BusinessSolutions.co.uk, "Channel Set Solutions", "Solitaire Set Solutions", "eOFFICE", "enFORM", "eCRUIT" or "eCONNECT" and it’s logo may not be used in any way, including in advertising or publicity pertaining to distribution of materials on this Site, without prior, written permission.

Use of This Site
1. The material provided on this Site is protected by law, including, but not limited to, United Kingdom Patents and Copyright Act and international treaties. This Site is controlled and operated by Diamond Business Solutions from its offices within the United Kingdom. Diamond Business Solutions makes no representation that materials in the Site are appropriate or available for use in other locations, and access to them from territories where their contents are illegal is prohibited. Those who choose to access this Site from other locations do so on their own initiative and are responsible for compliance with applicable local laws.

2. Any claim relating to, and the use of, this Site and the materials contained herein is governed by the laws of the United Kingdom.

3. Diamond Business Solutions prohibits use of the Diamond Business Solutions logo as a "hot" link to any non Diamond Business Solutions site unless establishment of such a link is approved in advance by Diamond Business Solutions in writing.

4. The materials on this Site are provided "as is" without warranties of any kind either express or implied. To the fullest extent possible pursuant to the applicable laws, Diamond Business Solutions disclaims all warranties, expressed or implied, including but not limited to, implied warranties of merchantability, fitness for a particular purpose, non-infringement or other violation of rights. Diamond Business Solutions does not warrant or make any representations regarding the use, validity, accuracy, or reliability of, or the results of the use of, or otherwise respecting, the materials on this site or any other sites linked to this site.

5. Under no circumstances, including, but not limited to, negligence, shall Diamond Business Solutions be liable for any direct, indirect, special, incidental or consequential damages, including, but not limited to, loss of data or profit, arising out of the use, or the inability to use, the materials on this Site, even if Diamond Business Solutions has been advised of the possibility of such damages. If use of materials from this Site results in the need for servicing, repair or correction of equipment or data, you assume any costs thereof.
